Introduction

The Njadwil platform is owned and operated by Asset Encryption Company for Communications and Information Technology (referred to in this agreement as "Njadwil" or "the Platform"), a company registered in Saudi Arabia under Commercial Registration No. 4032269159 and VAT No. 311704446100003.

These terms and conditions constitute the agreement between the platform, the user, and the service provider. They contain the platform's terms and conditions, outline the terms of use and benefits of the platform, and specify the obligations and rights of each party. This terms and conditions agreement has been added to the platform's main page to ensure easy access and review. Visiting, using, or creating a personal account on the platform implies acceptance of this terms and conditions agreement.

Definitions

The Platform: Refers to both the Njadul - njadwil.sa website and the Njadul - njadwil.sa mobile application, which provides a mediation service between the service provider and the user by displaying the service provider's products on the platform and enabling the user to purchase or benefit from the products.

User: Anyone who visits or uses the platform, or creates a personal account on the platform for the purpose of purchasing products or benefiting from them.

Service Provider: Anyone who displays reservations, tickets, services, and other activities and offers on the platform for the purpose of sale.

Products: Means all tickets, reservations, services, and other activities and offers available on the platform.

Product Specifications: Refers to information related to products including prices, purchase terms, or location and time of product receipt or benefit.

Data: Refers to the information entered by the user on the platform to create a personal account or purchase any of the products.

Active Event: Means any event, product, or reservation that has been created, prepared, published, or activated, or for which ticket or reservation sales have started through the platform, or for which any of the platform's operational services related to it have been used.

Operational Services: Means all services and tools the platform provides to the service provider, including event creation, preparing event pages, issuing tickets, managing reservations, sales links, marketing codes, scanning and entry tools, reports, staff management, operational support, and payment and settlement services.

Force Majeure: Means any exceptional event beyond the parties' control that cannot reasonably be foreseen, prevented, or avoided, and that makes carrying out the event impossible or unsafe. It includes, by way of example and not limitation, natural disasters, floods, fires, earthquakes, epidemics, governmental or security decisions, closure of the venue by a competent authority, or a general material interruption of essential services that prevents carrying out the event.

Material Defect: Means a persistent and impactful technical defect on the part of the platform that directly and materially prevents ticket sales, reservation management, or event entry operation. It does not include temporary outages, weak internet connectivity at the service provider or the event venue, device errors, data entry errors, account misuse, or delay in providing the platform with the required information.

Usage Terms and Conditions

  1. Both the user and the service provider commit to complying with relevant laws and regulations when using the platform.
  2. It is prohibited to use the platform for any illegal purposes or purposes that conflict with the terms of this agreement.
  3. The platform disclaims any responsibility for errors in data and product specifications, their inaccuracy, or their conflict with current or future laws.
  4. Product specifications may be modified at any time, and the user is responsible for verifying the product specifications before purchase.
  5. The service provider may not cancel, stop, disable, or hide any event that has been created, prepared, published, or for which ticket or reservation sales have started through the platform, except after submitting an official request through the platform's approved channels and obtaining the platform's prior written consent. Exempted from this are circumstances beyond control that are proven by documents or official decisions, such as natural disasters, fires, floods, earthquakes, epidemics, governmental or security decisions, closure of the venue by a competent authority, or any force majeure that makes carrying out the event impossible or unsafe. Commercial, marketing, or administrative considerations, weak sales, a change of operating plan, or a change in the service provider's preference are not considered a legitimate reason to stop or disable the event after it has been activated through the platform.
  6. In case of any issues or claims related to the product or its benefit, the user must contact the service provider directly for all matters related to the issues or claims.
  7. The platform does not guarantee the process of refunding money after purchase and is not obligated to return products after they are purchased.
  8. The platform continuously updates this terms and conditions agreement, and the user and service provider are responsible for reviewing this terms and conditions agreement and complying with its contents and any modifications that occur to it. Any update to this terms and conditions agreement is effective from the date of its publication on the platform.
  9. If any provision of these terms and conditions conflicts with any laws or regulations or cannot be implemented, the remaining provisions will remain in full force and effect.
  10. Neither the user nor the service provider has the right to transfer the obligations included in these terms and conditions without obtaining the platform's prior written consent, and the platform reserves the right to assign or transfer these terms to any third party without any restrictions.

Acceptance of Terms and Updates

The user and the service provider acknowledge that creating an account, logging in, creating or publishing an event, starting ticket or reservation sales, or using any of the platform's services after these terms are published or updated constitutes their acceptance of the terms and conditions in effect at the time of use. The platform reserves the right to update the terms and conditions from time to time, and continued use of the platform after an update is published, or acceptance of the notice within the account, constitutes agreement to the updated version.

Platform Obligations and Rights

  1. The platform commits to making every possible effort to ensure the readiness and effectiveness of the platform's performance and quality, but does not guarantee the absence of any sudden interruptions resulting from updates, maintenance operations, or unexpected technical problems.
  2. The platform reserves the right to modify, suspend, or terminate the platform or any of its features at any time, without prior notice or liability.
  3. The platform works to satisfy both the user and the service provider, and for this purpose, the platform contracts with third-party service providers, including but not limited to payment processors, to facilitate the services provided on the platform. The platform is not responsible for any errors, negligence, or claims resulting from anything provided by third parties.
  4. The platform has the right to modify, develop, and improve the platform and its terms and conditions. By continuing to use the platform after any modifications to the platform or its terms and conditions agreement, the user acknowledges acceptance of all updated terms and conditions.
  5. The platform commits to making efforts to protect the privacy and security of personal data and information of users and service providers, while reserving the right to use any data, statistics, and information for auditing or research and development purposes.
  6. The platform commits to publishing product information and specifications as received from the service provider, and disclaims responsibility for any inaccuracies, errors, or lack of correctness in them.
  7. The platform continuously works to improve and develop the platform in ways that benefit all parties.
  8. The platform reserves its right to keep active events running and to protect tickets, reservations, data, and user rights until the event ends or all related operational and financial obligations are completed.
  9. The platform has the right to refuse or suspend any request that would disable the event, stop sales, confuse users, affect existing reservations, or harm the flow of operations, unless the request is based on a legal reason, a proven force majeure, or a persistent material defect on the part of the platform.

User Obligations and Rights

  1. The user acknowledges that they have legal capacity and are of legal age, and commits to creating a genuine, non-programmed user account for personal use only on the platform. The personal user account must contain the user's real and correct information without any distortion or incorrect information, in order to complete product purchase and payment procedures. Note that products cannot be purchased or benefited from without creating a genuine user account.
  2. The user shall create only one personal account for booking and purchasing for personal purposes, not for trading or resale on any platforms not affiliated with this platform. The user acknowledges that using the platform and purchasing from it for trading or resale purposes on non-affiliated platforms exposes them to legal accountability and gives the platform the right to cancel the product without refund, block and close their account and its contents. The user confirms that all data entered and recorded by them in the user account is their correct and updated information, free from any errors or distortions, including contact and payment information, before, during and after purchasing or benefiting from the product.
  3. The user must maintain the confidentiality of their account information and prevent any other person from accessing the account and performing any operations. If any other user accesses the account other than the actual beneficiary, they will be treated as the primary user and all operations and procedures they perform will be considered valid. The user must immediately notify the platform of any unauthorized access. In no case shall the platform be responsible for any changes or procedures performed on the user account.
  4. By attending events, activities or experiences featured on the platform, the user grants the platform, service provider, organizers, their partners and sponsors a non-exclusive, royalty-free, perpetual, worldwide license to photograph them and their companions, and to use, copy, distribute, display and modify the images for promotional, marketing and other purposes. The user acknowledges that the platform is not responsible for anything resulting from the photography process or use of images, or any liability for any damage or loss arising from the use of images or video clips.
  5. When visiting or using the platform, the user must comply with and not violate any relevant laws, regulations, decisions, instructions, terms and conditions, including those related to booking, purchasing, attending events and experiences, or any other activities. The user acknowledges and commits that their use of the platform complies with laws and regulations, the platform's terms and conditions agreement, and the service provider's terms and conditions, and does not conflict with any of them in any way.
  6. The user grants the payment gateway (the entity that receives and processes payments) and the platform the right to deduct the ticket value through the chosen payment method, using the bank card information entered by the user to process the payment. The user bears all fees resulting from this payment process.
  7. The user acknowledges and commits not to perform any action or procedure that conflicts with these obligations or to commit any fraudulent act or any act that may harm the platform or the merchant. In case of violation or breach of any of these obligations, the user's account may be suspended, closed or terminated completely. In case of suspension, termination or closure of the account, the user has no right to claim, object or file a complaint with any entity at any time to recover the account or its contents of balances and sales for violating any of the aforementioned obligations or committing any fraudulent act or any act that may harm the platform or any service provider. The platform reserves its right to legal and judicial claims.
  8. The user must not engage in any behavior that may lead to obstruction or damage to the platform's operations, or interfere with or damage other users' access to the platform, or harm the privacy, integrity and security of the platform.
  9. The user must not use the platform for illegal, harmful or malicious purposes, including but not limited to sending viruses or malicious software, or performing unauthorized access or data manipulation.
  10. The user acknowledges their agreement and commitment to bear full responsibility and release the platform from any claims, damages, losses or liabilities arising from the use of the platform.

Provider Obligations and Rights

  1. Registration and Licensing
  2. The service provider must provide all accurate and correct information related to the event, and ensure that all necessary licenses and permits have been obtained from the relevant authorities in Saudi Arabia.

  3. Quality and Safety
  4. The service provider must ensure that the events provided meet the applicable quality and safety standards, and that all necessary precautions are taken for the safety of participants.

  5. Pricing and Taxes
  6. The service provider is responsible for determining ticket prices and applying VAT according to the regulations in Saudi Arabia. The platform is not responsible for any damages arising from the service provider's non-compliance with this clause.

  7. Cancellation and Refund
  8. The service provider must establish a clear cancellation and refund policy and clearly communicate it to participants through the platform.

  9. Compliance with Laws
  10. The service provider must comply with all Saudi laws and regulations related to event organization, including consumer protection laws.

  11. Legal Responsibility
  12. The service provider bears full responsibility for any claims or disputes arising from the event or tickets sold through the platform.

  13. Communication and Support
  14. The service provider must provide an effective communication channel with customers to respond to inquiries and provide required technical support.

  15. Compliance with Policies and Guidelines
  16. The service provider must comply with all policies and guidelines set by the platform, including any updates, and must not violate them in any way.

  17. Legal Data and Information
  18. The service provider must provide the platform with all required legal data, including commercial registration number, national ID number, and relevant official documents. All data must be up-to-date and accurate.

  19. Tax Activation
  20. The service provider acknowledges that they are solely responsible for activating and collecting taxes and VAT from the relevant authorities, and confirms that they bear full legal responsibility for this. The platform is not responsible for any legal or financial consequences arising from the service provider's failure to activate or pay taxes.

  21. Event Verification
  22. The service provider must provide all evidence and documents proving the validity and legality of the event when requested, ensuring there are no illegal activities or violations of regulations.

  23. Periodic Information Updates
  24. The service provider must periodically update information about the event, prices, dates, and taxes, and must not provide misleading or inaccurate information.

  25. Data Manipulation Prohibition
  26. The service provider is prohibited from manipulating data, such as changing dates, prices, ticket quantities, or any other information to evade obligations or manipulate the market.

  27. Off-Platform Sales Prohibition
  28. The service provider must not use or promote methods of selling tickets outside the platform, or attempt to evade completing transactions through the platform, to ensure transparency and protect user rights.

  29. Prohibition of Illegal Content
  30. The service provider is prohibited from publishing or offering events related to illegal content, content that violates public morals, or involves any type of fraud, abuse, or discrimination.

  31. Transaction Records
  32. The service provider must maintain records of all transactions and tickets sold for at least one year, and they must be auditable upon request by the platform or relevant authorities.

  33. Complaint Handling
  34. The service provider must respond to complaints and inquiries professionally and in a timely manner, working to resolve issues in a way that satisfies users while adhering to legal and ethical principles.

  35. Promotion Standards
  36. The service provider must use legitimate promotion and marketing methods, and must not use misleading or illegal methods to attract customers or manipulate information.

  37. Full Legal Responsibility
  38. The service provider acknowledges that they are solely responsible for all legal and regulatory obligations, and that they bear full responsibility for any violations or damages arising from their non-compliance with any terms of the agreement or applicable regulations.

  39. Platform Liability Exclusion
  40. The service provider acknowledges that the platform is not responsible for the validity, legality, or safety of the event, and that they alone are responsible for all aspects of the event, including licenses, taxes, and legal matters.

  41. System Manipulation Prohibition
  42. The service provider is prohibited from attempting to manipulate the platform's systems, such as illegally modifying data, attempting to evade fees, or misusing the platform's tools in any way.

  43. Dispute Resolution
  44. The service provider must resolve any disputes or disagreements amicably. If no solution is reached, the matter will be referred to the relevant authorities in Saudi Arabia.

  45. Operational Continuity and Commitment
  46. The service provider commits not to take any direct or indirect action that would disable the event, hide it, stop sales, cancel tickets, confuse users, or affect the booking and entry experience after the event is published or its operation has started through the platform. The service provider acknowledges that using the platform's services to prepare the event, publish it, sell its tickets, manage its reservations, or operate entry creates an operational obligation to keep the event running through the platform until its date ends or its related obligations are completed, unless the platform agrees otherwise in writing.

Event Operation Continuity

The service provider acknowledges that creating, preparing, or publishing the event, or starting ticket or reservation sales for it through the platform, constitutes their acceptance of keeping the event running through the platform until the event date ends or all related operational and financial obligations are completed. The service provider may not stop, disable, or hide the event, cancel existing tickets or reservations, or transfer their management outside the platform after activation, except after the platform's prior written consent, or in the case of a proven force majeure, an official decision issued by a competent authority, or a persistent material defect on the part of the platform that prevents continued operation. In all cases, the stop or disabling does not take effect until the platform reviews the request and assesses its impact on users, tickets, reservations, and existing financial and operational obligations.

Request to Stop or Modify an Event

If the service provider wishes to stop, modify, or hide any active event, they must submit an official request through the platform's approved channels, explaining the reasons for the request and the supporting documents. Submitting the request does not result in any automatic stopping of the event, and the event remains in place and active until written consent is issued by the platform. The platform has the right to refuse the request, postpone its execution, or put alternative measures in place whenever the stop or modification could affect users, existing reservations, operational safety, or the platform's rights.

Force Majeure and Circumstances Beyond Control

No party is responsible for delay or non-performance if it results directly from a proven force majeure that makes performing the obligation impossible or unsafe, provided the other party is notified immediately and proof is provided within a reasonable period. Force majeure does not include commercial, marketing, or administrative considerations, weak turnout, a change of preference, a change of operating plan, delay in preparation, unavailability of staff, weak local connectivity, device errors, or any cause that could have been avoided or handled with reasonable care. In the event of a force majeure, the platform has the right to take what it deems appropriate to protect users and operational safety, including temporarily suspending the event, rescheduling it, stopping sales, or handling existing tickets and reservations in accordance with the platform's policies and applicable regulations.

Managing Existing Tickets and Reservations

All tickets, reservations, payment operations, and data resulting from the use of the platform remain subject to the platform's systems and policies until they are fully benefited from or financially settled. The service provider may not cancel, replace, reissue, or handle any ticket or reservation made through the platform outside the platform's systems, except after the platform's prior written consent and in a way that does not harm user rights or operational safety.

Breach of Operational Continuity

If the service provider breaches any of their obligations related to the continuity of the event's operation, or disables, stops, or hides it, or cancels tickets or reservations, or affects the flow of operations without the platform's prior written consent or without a valid legal reason, the platform has the right to claim all due and expected fees and commissions, the value of services provided, operating costs, and compensation for any direct, indirect, operational, commercial, or reputational damages sustained by the platform. The platform also has the right to suspend the service provider's account, restrict their permissions, stop future services, or take appropriate legal measures to preserve its rights and the rights of users.

Intellectual Property Rights

  1. The platform retains all intellectual property rights. In case of any exploitation, modification, or use of the platform's intellectual property rights, whether directly or indirectly, the platform has the right to take any action it deems appropriate to stop such exploitation, modification, or use and seek compensation.
  2. All symbols, visual or written data, as well as the trade name and trademark contained in the platform are rights of the platform that cannot be exploited or used in any way.
  3. Neither the user nor the service provider has the right to exploit or use, directly or indirectly, any of the platform's registered or unregistered intellectual property rights, including but not limited to artistic designs, technical designs, programming languages, or logos.
  4. All data, symbols, images, electronic designs, content, trademarks, appearance, and other registered or unregistered elements, whether locally or internationally, are all rights owned solely by the platform, and no one else has the right to use or benefit from them.
  5. No entity or person has the right to monitor the platform, copy, take ideas, download, reproduce, or use anything displayed on the platform for any purpose without obtaining written permission from the platform.
  6. The platform may allow the user or service provider to send or publish content, including reviews, ratings, comments, or other materials. By agreeing to these terms and conditions, you grant the platform a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, display, and use this content for research and development purposes.
  7. The user guarantees that they possess the necessary rights to the content they have submitted and that it does not violate any intellectual property rights or the rights of any third party.
  8. The platform reserves the right to remove or modify any user or service provider content that violates these terms or is deemed inappropriate, at the platform's sole discretion.
  9. The platform may contain links to third-party websites and resources. These links are provided to enhance the user experience and facilitate access. The platform does not endorse or encourage dealing with these third parties and is not responsible for the content, products, or services they provide. The user's interaction with third-party websites has no relation to the platform, and the platform is not responsible for any consequences resulting from such interaction or from the terms and conditions or privacy policies governing those websites, which are separate and independent from the platform's terms and conditions.

Disputes and Applicable Law

This terms and conditions agreement is subject to and shall be interpreted in accordance with the regulations, laws, and decisions of the competent authorities in the Kingdom of Saudi Arabia. In the event of any dispute between the parties to this general terms and conditions agreement, the parties shall attempt to resolve the dispute amicably through written notices between the parties. If no amicable solution is reached between the parties, the parties have the right to resort to the competent judicial authorities in the city of Taif, Kingdom of Saudi Arabia. Evidentiary Value of Electronic Records

The platform's electronic records, including records of account creation, login, acceptance of terms, event creation, modifications, sales operations, stop requests, scanning and entry records, correspondence, and usage logs, are a valid means of proving transactions and obligations between the parties, unless proven otherwise. The service provider acknowledges that the platform may rely on these records to prove the use of services, acceptance of terms, performance of work, or the existence of standing operational or financial obligations.

Membership Terms and Conditions

  1. In its commitment to user satisfaction and providing the best solutions and services, the platform offers a membership subscription service for service providers through multiple packages. Each membership package provides the service provider with additional services and benefits according to the chosen package. To enable a service provider to subscribe to one of the available packages, they must have an active commercial registration and pay the membership fees.
  2. Membership fees are imposed according to the price displayed for the package chosen by the service provider.
  3. The membership period begins from the date the service provider confirms the subscription to the chosen package and pays the membership fees.
  4. The service provider acknowledges that creating their account as an event owner or service provider on the platform, selecting any of the membership or subscription packages, and completing the payment, were carried out entirely of their own free will and based on their own choice and their review of the package's benefits, fees, and terms, and that this constitutes their express and final acceptance of the subscription to the chosen package and of all related terms and conditions.
  5. The service provider further acknowledges that, after the package is activated or the subscription period has begun, they are not entitled to request retroactive cancellation of the subscription or a refund of the subscription value or any part thereof, whether or not they have used the package's benefits, and the platform is not obligated to return the subscription fees or any part thereof, while retaining their right to cancel the renewal for subsequent periods in accordance with the mechanism determined by the platform.
  6. The subscription is automatically renewed monthly or annually according to the customer's choice, unless the service provider cancels the subscription.
  7. The platform reserves the right to modify the fees of any membership packages at any time, with prior notice to the user.
  8. The service provider is responsible for the accuracy of the data provided for the membership subscription and acknowledges not using any data or payment methods they are not entitled to during and after completing the subscription process.
  9. The service provider commits not to use the membership in a way that conflicts with relevant regulations and laws or this terms and conditions agreement.
  10. The service provider acknowledges not to use the membership or its benefits and services in a way that harms or may harm the platform or any service provider.
  11. If the service provider uses the membership or any of its benefits and services in an illegal way or in a manner that harms the platform or any service provider, the service provider is responsible for compensating the platform or the user.
  12. The platform has the right at any time and without any obligation to cancel or suspend the membership according to its own discretion, through a notice sent to the service provider on the contact information provided by them and added to their personal account.

Refund Guarantee

Njadwil platform offers a "Refund Guarantee" service as an optional add-on when purchasing a ticket, which allows the customer to refund the ticket value according to the following conditions:

  1. Refund Period
  2. The customer has the right to request a refund of the ticket value provided that this is done at least 24 hours before the event or booking date.

  3. Coverage Scope
  4. The refund guarantee covers only the paid ticket value and does not include any additional fees such as: • Administrative fees • Payment gateway fees • Additional service fees (if any)

  5. Guarantee Activation
  6. The refund guarantee is only valid if the customer selects it and pays its fees during the purchase process.

  7. Refund Method
  8. The amount will be refunded to the original payment method or to the user's wallet within the platform within a period determined according to the processing policy.

  9. Exceptions
  10. • Tickets cannot be refunded if the request is made less than 24 hours before the date. • Tickets that have been used or verified cannot be refunded. • Some events may not be covered by the refund guarantee according to the organizer's policy.

  11. Platform Rights
  12. Njadwil platform reserves the right to modify or cancel the refund guarantee service or its terms at any time, with the terms in effect at the time of purchase being applied.
